Terms of service

1. The service

Refyl ("the service") is a macOS desktop application that tracks usage and costs across AI subscription services and APIs. It is provided as software you install locally on your Mac, sold by David, a solo independent developer based in Switzerland ("us", "we", "the operator").

2. Pre-order status

If you purchase before the official launch, you are pre-ordering. The product will be delivered within 6 weeks of reaching 50 founder pre-orders, or sooner. If we don't ship for any reason, you are entitled to a full refund per our refund policy.

3. License

Your purchase grants you a non-transferable, non-exclusive lifetime license to use Refyl for personal or commercial purposes on macOS devices you own or use. The Founder Lifetime covers a single user. The Agency Lifetime covers up to 3 users within the same team or organization.

4. Updates

All future updates within the major version stream you bought are included at no additional cost, for life. If Refyl 2.0 introduces a fundamentally different product (e.g., a hosted service), it may be sold separately, but the current macOS app remains supported.

5. Acceptable use

Don't redistribute or resell Refyl, don't reverse-engineer the binary, don't modify it to bypass licensing, don't use it to violate the terms of service of the AI providers you track (OpenAI, Anthropic, etc.). Standard rules.

6. Service availability

Refyl is a local application. We don't run a backend you depend on. If the website refyl.dev goes down, your app still works. If we (extremely unlikely) shut down the company, your app still works — that's the point of local-first.

7. Third-party services

Refyl interacts with third-party AI services (OpenAI, Anthropic, Cursor, OpenAI, etc.) using credentials you provide. We are not responsible for those services' availability, pricing changes, or terms. If a provider changes their API or quota model in a way that breaks Refyl, we'll do our best to update — usually within 2-4 weeks.

8. No warranty

Refyl is provided "as is" without warranty of any kind. We do our best to ship a reliable product, but we can't guarantee it will be bug-free or perfectly accurate at all times. Quota measurements depend on third-party APIs and may occasionally drift.

9. Liability

Our maximum liability to you is the amount you paid for Refyl (currently $29 or $99). We're not responsible for any indirect, incidental, or consequential damages, including but not limited to lost productivity, blown AI budgets, or missed deadlines.

10. Governing law

These terms are governed by the laws of Switzerland. Any disputes will be resolved in the courts of the Canton of Vaud. We strongly prefer resolving issues by email first — see contact below.

11. Changes

If we change these terms meaningfully, we'll notify pre-order customers by email at least 14 days in advance. Continuing to use the product after that constitutes acceptance.
